Advertisers: You are responsible for providing accurate campaign details, including content, goals, and tracking requirements. You must ensure that your campaigns comply with all applicable advertising regulations.
Affiliates: You agree to promote advertiser campaigns in good faith and in accordance with the rules provided. Misrepresentation, spamming, or use of prohibited traffic sources (e.g., fake clicks, bots) is strictly prohibited.
Cloudxmedia reserves the right to terminate accounts that violate these terms or are involved in fraudulent activities.

3. Registration and Account Security

To use Cloudxmedia’s services, you must create an account by providing accurate, complete, and current information. You are solely responsible for:

Maintaining the security and confidentiality of your account login credentials.
Any activity that occurs under your account, whether authorized by you or not.
Promptly notifying Cloudxmedia of any unauthorized access or use of your account.
We reserve the right to suspend or terminate your account if we suspect any fraudulent or unauthorized activities.

4. Payment Terms

For Advertisers:
•Payment for advertising campaigns must be made in accordance with the pricing plans outlined on the platform.
•Cloudxmedia may suspend or cancel any campaign for non-payment.
For Affiliates:
•Affiliates will receive commission payments for successful conversions or actions, as specified in the campaign agreements.
•Payments are subject to Cloudxmedia’s verification process, ensuring no fraud or invalid conversions have occurred.
•Payment schedules and methods will be provided within the affiliate dashboard. Cloudxmedia reserves the right to withhold or adjust payments in cases of suspected fraudulent activity or violation of these terms.

5. Prohibited Activities

Users of Cloudxmedia are prohibited from:

•Using deceptive or illegal methods to generate traffic or conversions, including but not limited to click fraud, fake leads, or other manipulative techniques.
•Posting offensive, inappropriate, or infringing content that violates copyright or other intellectual property rights.
•Spamming or abusing the platform, affiliates, or advertisers.
•Tampering with tracking codes or using unauthorized tools to interfere with campaign tracking and analytics.
Any breach of these activities may result in suspension, account termination, or legal action.

6. Intellectual Property

All content, logos, trademarks, and other intellectual property on the Cloudxmedia platform, including the proprietary tracking tool Statcue, are owned or licensed by Cloudxmedia. You are granted a limited, non-transferable right to use the platform for its intended purpose. Any unauthorized use of Cloudxmedia’s intellectual property is strictly prohibited.

7. Confidentiality

Users must treat all information shared via Cloudxmedia’s platform as confidential, including business plans, marketing strategies, campaign details, and performance data. You agree not to disclose or use any confidential information for any purpose outside of your authorized use of the platform.

8. Privacy

Your use of Cloudxmedia is governed by our Privacy Policy, which outlines how we collect, store, and process your personal data. By agreeing to these Terms & Conditions, you also agree to the terms of the Privacy Policy.

9. Termination

Cloudxmedia reserves the right to terminate or suspend your account at any time, with or without notice, if you:

Engage in fraudulent or illegal activities
Engage in any behavior that may harm Cloudxmedia’s reputation or that of its users.

11. Limitation of Liability

In no event shall Cloudxmedia or its affiliates be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, data, or goodwill, arising from your use of the platform or your inability to use the platform.

12. Indemnification

You agree to indemnify and hold Cloudxmedia, its affiliates, employees, and partners harmless from any claims, liabilities, damages, losses, or expenses, including reasonable legal fees, arising from your:

• Use of the platform

• Breach of these Terms & Conditions

• Violation of any applicable law or rights of third parties.

These Terms & Conditions are governed by and construed in accordance with the laws of Delhi, India, without regard to its conflict of law principles. Any disputes arising from these terms shall be resolved in the courts of South Delhi, Delhi.
